Terms of Use for RunMyHub

These terms govern the use of RunMyHub, HS-Soft AG’s software for point of sale, ordering, inventory and administration, by businesses. RunMyHub is offered only to businesses, not to consumers. The German version is binding; this translation is for information.
1. Parties and scope
- The provider is HS-Soft AG, Hinterbergstrasse 16, 6312 Steinhausen, Switzerland (“HS-Soft”). The customer is the business for which a RunMyHub account is set up (“Customer”).
- These terms apply to all services around RunMyHub: the web application, the apps for tills and stations, the interfaces, and set-up and support. The Customer’s own terms apply only if HS-Soft confirms them in writing.
- The Data Processing Agreement (DPA) forms part of these terms. Special terms may apply to hardware, HS Pay and individual orders; they take precedence over these terms.
2. Conclusion of contract and account
- The contract is concluded when the Customer accepts these terms while setting up its company or in a quote.
- Whoever accepts these terms for the Customer confirms that they are authorised to do so.
- The Customer manages its users itself. It keeps credentials secret, gives access only to authorised persons and reports misuse without delay.
3. Services
- HS-Soft provides RunMyHub as software as a service over the internet. Scope and modules follow from the booked plan or licence.
- The till keeps working without an internet connection; data is synchronised once the connection is back.
- HS-Soft develops RunMyHub continuously and may adapt features as long as the agreed core of the service is kept. HS-Soft announces material restrictions with reasonable notice.
- Availability: [open: target, e.g. 99.5% monthly average, excluding announced maintenance windows].
4. AI features
- Some features use artificial intelligence, e.g. the AI assistant, translations and forecasts.
- AI results can be incomplete or wrong. The Customer checks them before relying on them for business, tax or legal decisions.
- The Customer’s data is not used to train third-party AI models.
5. Customer obligations
- The Customer uses RunMyHub lawfully and within these terms.
- It is responsible for the content and data it records, and for complying with the rules that apply to its business, in particular on bookkeeping, fiscalisation, price display and data protection towards its customers and employees.
- It provides the infrastructure needed on its side (internet access, supported devices and browsers).
6. Customer data
- The data the Customer records in RunMyHub belongs to the Customer. HS-Soft processes it only to provide the services and under the DPA.
- Customer data is stored in the Customer’s jurisdiction: in Zurich for customers in Switzerland, in Frankfurt for customers in the EU.
- To fix faults and for support, HS-Soft may record the use of the web application in masked form (session recording). The Customer can have this switched off for its company. The Privacy Policy and the DPA set out the details.
- The Customer can export its data during the term. After the end of the contract, HS-Soft keeps the data available for export for [open: period, e.g. 30 days] and then deletes it, unless a legal retention duty applies.
7. Prices and payment
- The prices of the booked plan or quote apply, plus VAT.
- Recurring fees are due in advance for the agreed billing period. Card payments are processed through Stripe.
- If payment is overdue, HS-Soft may restrict access after a reminder; the till remains usable for ongoing sales as far as technically possible.
- HS-Soft announces price changes at least [open: e.g. 60 days] in advance.
8. Support
Support is provided through the channels shown in RunMyHub (ticket, email, phone, WhatsApp). Response times: [open: per plan]. To resolve a support case, authorised HS-Soft staff may work in the Customer’s account (support session). Each support session is time-limited and logged with a reason; changes made during it appear in the Customer’s change log.
9. Warranty and liability
- HS-Soft provides the services with care and according to the state of the art. The Customer reports defects without delay; HS-Soft fixes them within a reasonable time.
- HS-Soft is liable for damage it causes intentionally or through gross negligence. Otherwise, liability is excluded or, as far as the law permits, limited to [open: e.g. the fees of the last 12 months]. HS-Soft is not liable for lost profit, data loss at the Customer or indirect damage, as far as the law permits.
- HS-Soft is not liable for disruptions outside its control, in particular of the internet, the Customer’s devices or third-party services the Customer has connected itself.
10. Term and termination
- The contract runs for an indefinite period unless agreed otherwise.
- Either party may terminate it at the end of the current billing period with [open: e.g. 30 days’] notice.
- The right to terminate without notice for good cause remains reserved.
11. Changes to these terms
HS-Soft may change these terms. It announces changes in RunMyHub or by email at least 30 days before they take effect. If the Customer does not object within that period and keeps using RunMyHub, the changed terms are deemed accepted; HS-Soft points out this consequence in the notice.
12. Final provisions
- Swiss law applies, excluding the UN Convention on Contracts for the International Sale of Goods (CISG).
- The place of jurisdiction is the seat of HS-Soft AG in Steinhausen ZG, Switzerland. HS-Soft may also bring proceedings at the Customer’s seat.
- If a provision is invalid, the rest remains valid.
